Terms of Service

1. Who we are

219-221 Prototype Ltd ("Company," "we," "our") operates Nia (the "Service"), an AI-powered relationship-advice chatbot currently released as an experimental prototype.

2. Accepting these Terms

By creating an account, accessing, or using the Service you agree to these Terms of Service ("Terms") and our separate Privacy Notice. If you do not agree, do not use the Service.

3. AI disclosure & purpose

  • You are interacting with software that generates responses automatically using large language models.
  • The Service is for informational and entertainment purposes only and does not provide professional counselling, medical, legal, or other regulated advice. No therapist–client, doctor–patient, or attorney–client relationship is created.
  • If you feel unsafe, are experiencing abuse, or may harm yourself or others, contact local emergency services immediately (e.g., dial 112 in the EU or 911 in the US).

4. Age requirement

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service. If you are under 18, you may only use the Service with verifiable parental consent and under parental supervision.

5. Prototype & beta warning

The Service is in beta and may contain bugs, inaccuracies, offensive content, or unexpected output ("AI Risks"). We may modify, limit, or suspend the Service at any time without notice.

6. Accuracy & content limitations

AI outputs can be incorrect, misleading, or outdated, may reflect inherent model biases, and can change each time you ask. Verify any important information before relying on it. You assume all risk for actions taken based on the Service's responses.

7. User conduct

You agree not to:

  1. violate any law or third-party rights;
  2. input or request content that is illegal, exploitative, violent, hateful, or involves minors in sexual content;
  3. attempt to reverse-engineer, scrape, or overload our systems;
  4. impersonate others or misrepresent your affiliation with any person or entity.

We may monitor usage and suspend or terminate accounts that violate these rules.

8. Privacy & data

We process your personal data as described in the Privacy Notice. Key points:

  • Data we collect: account details, chat transcripts, device and log data.
  • Why we collect it: operate the Service, improve models, detect misuse, and—as aggregated statistics—for research.
  • Legal bases: your consent, contract performance, and our legitimate interests; additional bases may apply under local law.
  • Retention: transcripts are retained for up to 12 months unless you delete them earlier (subject to technical backups).
  • Your rights: access, rectify, erase, port, restrict, object, complain to a supervisory authority, and withdraw consent.

9. Model improvement

With your permission (opt-in), we may use your de-identified conversations to retrain and improve our models. You can opt out at any time in settings.

10. Third-party services

The Service may link to or use third-party content or APIs. We do not endorse or control those parties and are not responsible for their content or practices.

11. No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, including fitness for a particular purpose, accuracy, availability, non-infringement, or that the Service will be uninterrupted or secure, except where such disclaimers are prohibited by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER COMPANY NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
Our total aggregate liability for any claim will not exceed US $100 (or the equivalent in local currency) or the amount you paid us in the 12 months prior to the event giving rise to the claim—whichever is greater. Nothing in these Terms limits liability that cannot be limited under law (e.g., liability for death or personal injury caused by negligence, or for fraud).

13. Indemnity

You agree to defend, indemnify, and hold harmless Company and its affiliates from any claims, damages, and costs (including reasonable attorney fees) arising from your violation of these Terms or misuse of the Service.

14. Termination

You may stop using the Service at any time; we may suspend or terminate your access if you breach these Terms or if required by law.

15. Governing law & dispute resolution

Except where prohibited by consumer-protection laws that cannot be waived:

  • Governing law: the laws of Malta, excluding its conflict-of-laws rules.
  • Disputes: Any dispute will be resolved by binding arbitration under the Rules of the International Chamber of Commerce, seated in Malta, conducted in English, with one arbitrator. You waive any right to participate in class actions.

Consumers in the EU, UK, or other jurisdictions with mandatory protections retain their statutory rights to bring claims in their home courts.

16. Changes to these Terms

We may update these Terms by posting a revised version and changing the "Last updated" date above. Material changes will be announced 30 days in advance. Continued use after the effective date constitutes acceptance.
